Dealers United’s “$5K-A-Day NADA Sweepstakes” Rules (“Official Rules”)

BY ENTERING INTO THIS GIVEAWAY, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES, WHICH CONSTITUTE A CONTRACT, SO READ THEM CAREFULLY.  IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS CONTRACT, DO NOT ENTER THIS GIVEAWAY.

1. “$5K-A-Day NADA Sweepstakes” OVERVIEW: The “$5K-A-Day NADA Sweepstakes” (this “Giveaway”) is sponsored by Dealers United (“Sponsor”) with a principal place of business located at 935 N. Beneva Road, Suite 609-1003, Sarasota, FL 34232.  Sponsor will be in attendance at the 2025 NADA Expo taking place at the New Orleans Ernest N. Morial Convention Center, 900 Convention Center Blvd., New Orleans, LA 70130 (the “NADA Show 2025”).  

2. ELIGIBILITY: This Giveaway is open to (i) individuals that are employed as of the date of entry by an automotive dealership in the United States; (ii) who are twenty-one (21) years of age or older at the time of entry; and (iii) are residents of the United States (excluding Florida and New York) (an “Eligible Entrant”). Each person who enrolls in this Giveaway is referred to herein as a “Participant”. The following persons are ineligible to participate in this Giveaway and/or to win a prize, even if they otherwise meet the definition of an Eligible Entrant: employees, officers, directors, agents, owners, successors and assignees of the Sponsor, its respective parent, subsidiaries and affiliated companies, any advertising, promotional agencies, or other entity otherwise involved in the creation, administration or fulfillment of this Giveaway (all of the above italicized entities collectively referred to herein as “Giveaway Parties”), and the immediate members (defined as spouse, parent, child, sibling, or grandparent; whether biological adoptive, step or in-law) and those living in the same household (defined as those persons whether related or not who live in the same residence as an Eligible Entrant at any time during the Giveaway Period, as defined below) of such Giveaway Parties.

3. GIVEAWAY DATES: This Giveaway will begin on December 18, 2024 at 1:00pm CST and will conclude on January 26, 2025 at 1:00pm CST (the “Giveaway Period”), as set forth in detail below:

1. Mail-In Entry Period:  Postmarked between December 18, 2024 and January 3, 2025, and received no later than January 15, 2025 (the “Mail-In Entry Period”).
2. Online Entry Period:  Open December 18, 2024 at 1:00pm CST through January 23, 2025 at 1:00pm CST (the “Online Entry Period”) with the in-person appointment taking place during regular Expo Floor Hours beginning January 24, 2025 through January 26, 2025 at the NADA Show 2025 at Booth #7757.
3. In-Person Entry Period:  Beginning January 24, 2025 through January 26, 2025 at the NADA Show 2025 at Booth #7757 during the regular Expo Floor Hours (the “In-Person Entry Period”).
4. Purchase of Services Entry Period:  Beginning January 24, 2025 through January 26, 2025 at the NADA Show 2025 during the regular Expo Floor Hours (the “Purchase Entry Period”).  

4. GIVEAWAY PROCEDURES: Patrons may enter this Giveaway by one or more of the following methods (collectively, the “Entries”):

Mail-In Entry:  Beginning on December 18, 2024, Eligible Entrants may submit a mail-in entry by legibly handwriting your complete name, job title, dealership name, dealership mailing address, email address, phone number and date of birth on a postcard or a card that is no smaller than 3 ½ x 5 inches and no larger than 4 ¼ x 6 inches, with proper postage to: 5320 245th St E, Myakka City, FL 34251, which must be postmarked by January 3, 2025 and received no later than January 15, 2025 (each, a “Mail-In Entry”).  Limit of one (1) Mail-In Entry per person.
6. Online Entry:  Beginning on December 18, 2024 at 1:00pm CST and ending on January 23, 2025 at 11:59PM CST, an Eligible Entrant may visit https://www.dealersunited.com/nada-2025-booth-appointment/ and follow the instructions to select your booth appointment at the NADA Show 2025 and complete an appointment at Booth #7757 during the NADA Show 2025 (each, an “Online Entry”). Each Participant that registers online and completes an appointment will receive three (3) entries.  Limit of one (1) Online Entry per person.  
7. In-Person Entry:  During the regular Expo floor hours of the NADA Show 2025, an individual may visit Booth #7757 and complete an appointment (each, an “In-Person Entry”).  Each Participant that registers in-person and completes an appointment will receive one (1) entry.  Limit of one (1) In-Person Entry per person.
8. Purchase of Services Entry:  During the regular Expo floor hours of the NADA Show 2025, an individual may purchase one or more of Sponsor’s products or services (each, an “Purchase of Services Entry”).  Each Participant that makes a purchase will receive ten (10) entries.  Limit of one (1) Purchase of Services Entry.  
9. In the event that a Participant does not comply with any of the requirements contained in this Section or that are otherwise provided for herein, at the sole determination of the Sponsor, such Participant shall be disqualified. In the event that the Prize Winner has entered an invalid phone number or provided other inaccurate information on the Entry, such Participant shall be disqualified from this Giveaway, and a new winner shall be selected. Moreover, at the sole determination of the Sponsor, all of that Participant’s Entries may be deemed null and void, not honored or acknowledged, and may be grounds for forfeiture of his/her prize. By entering this Giveaway, each Participant agrees that they have read and accepted these Official Rules.

5. NO PURCHASE IS NECESSARY TO ENTER OR WIN THIS GIVEAWAY. FURTHER, A PURCHASE WILL NOT IMPROVE A PARTICIPANT’S CHANCES OF WINNING A PRIZE IN THIS GIVEAWAY.

6. PRIZES, PRIZE VALUES, ODDS OF WINNING AND COLLECTING PRIZES: The following outlines the prize distribution.

On each of January 24, 2025, January 25, 2025 and January 26, 2025 (each a “Drawing Date”), a representative of the Sponsor will randomly select one (1) Prize Winners (each a “Prize Winner”, collectively, the “Prize Winners”).  Each Prize Winner will receive a check in the amount of Five Thousand Dollars ($5,000.00) for a total prize pool of Fifteen Thousand Dollars ($15,000.00). A Participant is entitled to be a Prize Winner one (1) time during the Giveaway Period.

The odds of an Entry being randomly selected as the Prize Winner depends entirely on the number of eligible Entries received during the Giveaway Period as of such Drawing Date.  

The Prize may not be transferred and must be accepted as awarded. The Sponsor reserves the right to substitute the Prize with another prize of equal or greater value if the Prize is not available for any reason, as determined by the Sponsor in its sole discretion.  It is the Participant’s responsibility to read and understand all information, if any, which accompanies the Prize.  A Prize Winner will be required to verify eligibility; if a Prize Winner is unable to verify eligibility within 72 hours of being notified, an alternative winner may be selected and the original winner’s rights to the Prize will be automatically forfeited.

7. PRIZE WINNERS’ NOTIFICATION PROCEDURES: The Prize Winners will be notified by email at the email address provided on the Entry. Sponsor will mail the Prize to the address designated by the Prize Winner in writing.  

8. CONDITIONS: All taxes and fees on prizes are the sole responsibility of each winner. Each winner will be required to provide tax information and will be sent a Form 1099-MISC, as required by the Internal Revenue Service (“IRS”). Each winner is solely responsible for reporting and paying all applicable federal, state and local taxes related to the prize. No prizes are transferable.

9. MISCELLANEOUS: 

1. By entering, Participant unconditionally agrees to be bound by these Official Rules and the decisions of the Sponsor, which shall be final. The Sponsor reserves the right to disqualify any Participant or winner who, in its sole suspicion, tampers with the entry process, violates these rules, or acts in an unsportsmanlike or disruptive manner. In the event of a discrepancy between these Official Rules and any creative/collateral materials relating to this Giveaway, these Official Rules will prevail.
2. All federal, state, and local laws apply, and all applicable federal and state taxes are the sole responsibility of the winner.
3. For the Prize Winners, the IRS requires the Sponsor to issue Form 1099-MISC for U.S. residents for each winner who receives a prize, if the amount of the prize is six hundred dollars ($600.00) or more. Sponsor will send the winner a W9, which must be completed and returned to Sponsor in order for the winner to be eligible to receive the Prize. Any winner who fails to promptly (i.e., within 72 hours) provide a completed W9, including, without limitation, his or her social security number, shall forfeit any and all rights to the Prize.
4. The Sponsor and, as applicable, Giveaway Parties are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (ii) any condition caused by events beyond the control of the Sponsor that may cause this Giveaway to be disrupted or discontinued; (iii) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, or use of a prize, or from participation in this Giveaway; (iv) any printing or typographical errors in any materials associated with this Giveaway; or (v) late, lost, delayed, or damaged delivery of the prize. The Sponsor reserves the right at their sole discretion to suspend, modify or terminate this Giveaway (or portion thereof) for any or no reason, including if the Sponsor determines that any portion of this Giveaway is compromised for any reason, and, if terminated, at the Sponsor’s discretion, the Sponsor may select the potential winner(s) for the drawing(s) at issue from among all non-suspect, eligible entries received for the applicable drawing(s) prior to action taken. CAUTION: ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW.

10. SOCIAL MEDIA DISCLOSURE: Although this Giveaway may be advertised on Facebook, “X” formerly known as Twitter, Instagram, YouTube, LinkedIn, or other social media platforms of the Sponsor, this Giveaway is in no way sponsored, endorsed or administered by, or associated with, Facebook, X, Instagram, YouTube, LinkedIn or other social media platforms. Participants are providing their information to the Sponsor and not to Facebook, X, Instagram, YouTube, LinkedIn or other social media platforms. The information a Participant provides will only be used by the Sponsor and its agents. By entering, Participants provide a complete release of Facebook, X, Instagram, YouTube or LinkedIn from any and all responsibilities implied or provided by the Sponsor and acknowledge that this Giveaway is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram, YouTube or LinkedIn.

11. USE OF DISCLOSED INFORMATION: Information transmitted to the Sponsor will generally be treated as non-confidential and non-proprietary. Except where prohibited by law, entry constitutes permission to use each winner’s name, biographical information and/or likeness for online posting and /or any other written or photographic advertising and publicity without additional compensation. Further, by entering this Giveaway, a Participant is granting the Sponsor permission to use his/her contact information to (i) contact him/her regarding a prize and (ii) provide him/her with marketing or other informational materials related to the Sponsor.

12. ARBITRATION: Except where prohibited by law, as a condition of participating in this Giveaway, Participant agree that (a) any and all disputes and causes of action arising out of or connected with this Giveaway, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Sponsor; (b) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will a Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Giveaway), and Participant further waives all rights to have damages multiplied or increased. PARTICIPANT, BY ENTERING, SPECIFICALLY AND KNOWINGLY WAIVES ANY RIGHT TO A TRIAL BY JURY AND A TRIAL BY JURY IS HEREBY WAIVED BY BOTH SPONSORS AND PARTICIPANT. PARTICIPANT UNDERSTANDS THAT PARTICIPANT IS WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, PARTICIPANT ACKNOWLEDGES THAT PARTICIPANT HAS READ AND UNDERSTANDS, AND HEREBY EXPRESSLY WAIVES, THE BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA, AND ANY SIMILAR LAW OF ANY STATE, COUNTRY OR TERRITORY, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

13. CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant and the Sponsor in connection with this Giveaway, shall be governed by, and construed in accordance with, the substantive laws of the State of Louisiana, USA. The Sponsor reserves the right to revise these rules to comply with applicable law.

14. SEVERABILITY: If any provision(s) of these Official Rules is held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. The Sponsor reserves the right in its sole discretion to supplement or make changes to these Official Rules without notice.

15. GENERAL: By participating in this Giveaway, Participants agree to be bound by these Official Rules and any determinations of the Sponsor, as determined in its sole discretion, on all matters relating to this Giveaway, and to any prize, all of which are final and binding. Moreover, by participating in this Giveaway and/or accepting a prize, Participants waive all of their rights to In the event that any Sponsor is prevented from continuing with this Giveaway, or the integrity and/or feasibility of this Giveaway as planned is undermined by any event including but not limited to any error, virus, bugs, non-authorized human intervention, action of Participants or other causes beyond the control of Sponsor that corrupt or impair the administration, security, fairness or proper play of this Giveaway, or any fire, flood, weather event, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, or order of any court or jurisdiction, the Sponsor shall have the right, in its sole discretion, to disqualify you and to abbreviate, modify, suspend, cancel or terminate this Giveaway.
